IMPORTANT: PLEASE READ THIS AGREEMENT BEFORE ACCEPTING THE TERMS AND CONDITIONS. BY ACCEPTING THE TERMS AND CONDITIONS YOU ARE AGREEING TO EACH OF THESE TERMS AND CONDITIONS SET BY ELG Hospitality, DBA INNS.COM™.

Inns.com™ reserves the right, once your property/agency/company/ association is participating to: Delete any organization that submits false or intentionally misleading information; Market the Inns.com™ database and individual properties from the information supplied; Restrict advertising to any entity for any reason; Approve or reject any listing deemed objectionable. Inns.com reserves the right to reject ads that are irrelevant to the city/region/state page(s) where they are placed.

Inns.com is open to any independent property, lodging association, destination marketing organization (DMO) convention & visitors bureau (CVB), attraction, restaurant, special event office, transportation service, outdoor recreation agency. It is not available to online lodging directories, corporate or franchise chain hotels and motels, or third-party travel providers. By agreeing to these terms, you acknowledge that all receipts, communications and notifications from Inns.com will be sent to you in electronic format via email. To ensure delivery to your inbox, please set up your email account to accept any and all email from Inns.com.

To participate in the Inns.com Auction™ Program, the participating property must open an Inns.com Auction Account™ with Inns.com™. To open an account, a minimum $25.00 U.S. deposit is required via credit card. All deposits are NON-REFUNDABLE.* The minimum bid to place an Advertisement on Inns.com shall be $.10 U.S. per click-through. There is no maximum bid.

By agreeing to these terms it is acknowledged that Inns.com has the right to use, reproduce, display and transmit on the Inns.com website and any Inns.com partner websites, any information, photos, or material provided by Innkeeper and/or Innkeepers' authorized agent. It is further acknowledged that photographs sent to Inns.com cannot be returned. By agreeing to these terms, you agree to the use by Inns.com of any images representing the Innkeeper's property in the promotion of the Property, as well as the Inns.com database on the Internet and in printed matter. By agreeing to these terms it is acknowledged that the images and materials provided to Inns.com are not restricted by copyright or the Innkeeper owns the copyright on the images and materials and authorizes the use thereof by Inns.com. The innkeeper agrees to indemnify and hold harmless Inns.com from any claim, suit, damage or liability, which Inns.com may incur as a result of use of such images or materials.

INNS.COM™ MAKES NO WARRANTY PERTAINING TO AND IS NOT LIABLE FOR THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY CONTENT OR LISTING DISPLAYED ON ITS WEB SITE(S). INNS.COM™ SPECIFICALLY DISCLAIMS ANY AND ALL LIABILITY, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES PERTAINING TO ANY CLAIMS BASED ON OR ARISING FROM THE POSTING OF SUCH CONTENT OR LISTING THAT IS MADE AGAINST INNS.COM™, OR ANY OF ITS AFFILIATES, SUBSIDIARIES, AND/OR RELATED COMPANIES.

Inns.com uses the highest security techniques available to it at the time to protect all information on the site. In the highly unlikely event of a security breach, you agree to assume all risk and liability arising from your use of the Inns.com system.

Inns.com™ is not bound to any changes or amendments to this agreement unless agreed to by Inns.com™ in writing.

Miscellaneous: This Agreement shall be interpreted in accordance with the laws of the State of Colorado and any legal proceeding arising out of this Agreement will occur in the city and county of Denver, Colorado. This Agreement constitutes the entire agreement between Inns.com™ and Participant with respect to the subject matter hereof, and Participant has not relied upon any promises or representations by Inns.com™ with respect to the subject matter except as set forth herein.
